Terms of Service

These Terms of Service ("Terms") govern your use of the Tellstone platform and services ("Service") as a registered organization ("Customer," "you," "your"). By creating an account, you agree to be bound by these Terms.

1. Agreement to terms

By registering for an account, submitting payment, or otherwise accessing the Service, you represent that you have the authority to bind the organization on whose behalf you are subscribing, and that you have read, understood, and agree to these Terms. These Terms constitute a binding legal agreement between your organization and Tellstone Inc. ("Tellstone," "we," "us," "our"), a Delaware corporation.

2. Description of service

Tellstone is a team diligence platform that helps venture studios, venture capital firms, accelerators, and other investing entities evaluate founding teams through behavioral assessments, team simulations, risk analysis, and talent matching. The Service includes:

• Founder assessment and personality profiling tools
• Team simulation and risk analysis engine
• Talent matching and "missing piece" identification
• Shareable simulation reports
• Portfolio-level intelligence and outcome tracking

The Service is provided as a software-as-a-service (SaaS) product accessible via web browser.

3. Account registration

To use the Service, you must create an account by providing accurate and complete information, including your organization name, contact details, and payment information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that the information you provide remains accurate and up to date

You may not create an account using false or misleading information, or on behalf of an organization without proper authorization.

4. Plans, subscription and payment

The Service is available under both a free plan and a paid subscription plan.

Free Plan:

• The free plan provides limited access to the Service at no cost and does not require payment information to create an account.
• Free plan usage is subject to limits, including restrictions on the number of scenarios and simulations available. These limits may be adjusted at our discretion.
• Certain features, such as talent matching, talent search, and portfolio exports, are available only on the paid plan.
• We reserve the right to modify, suspend, or discontinue the free plan at any time with reasonable notice.

Paid Subscription: By subscribing to the paid plan, you agree to the following:

• Billing: Subscriptions are billed annually in advance at the rate displayed at the time of purchase. All fees are quoted in U.S. dollars.
• Payment Processing: Payments are processed securely through our third-party payment processor, Braintree (a PayPal service). Your payment information is transmitted directly to Braintree and is not stored on our servers.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date.
• Refunds: All fees are non-refundable except as required by applicable law. If you cancel during a billing period, you will retain access through the end of that period.
• Price Changes: We may adjust subscription pricing with at least 30 days' notice before your next renewal date. Promotional or early adopter pricing, once locked in, will remain in effect for the duration of your continuous subscription.

5. Cancellation and downgrade

You may cancel your paid subscription at any time from your Workspace Settings. If you have any issues, contact us at support@tellstone.ai. Upon cancellation:

• You will retain access to the paid Service through the end of your current billing period
• After your billing period ends, your account will automatically revert to the free plan with its associated usage limits
• No further charges will be made after the cancellation is processed
• Your data will be retained in accordance with our Privacy Policy. De-identified and aggregated data may continue to be used for model training and product improvement

Free plan accounts may be deleted at any time by contacting support@tellstone.ai. Data retention for free accounts is governed by our Privacy Policy.

6. Acceptable use

You agree to use the Service only for its intended purpose and in compliance with all applicable laws. You may not:

• Use the Service to discriminate against individuals on the basis of race, gender, age, religion, disability, sexual orientation, or any other protected characteristic
• Attempt to reverse-engineer, decompile, or extract the underlying algorithms, models, or methodologies of the Service
• Share, resell, or sublicense your account access to third parties
• Use the Service to harass, intimidate, or harm any individual
• Upload malicious code, interfere with the Service's infrastructure, or attempt to gain unauthorized access to other accounts or systems

7. Data and privacy

Your use of the Service involves the collection and processing of data, including data about individuals who participate in assessments at your direction. You acknowledge and agree that:

• You are responsible for obtaining appropriate consent from individuals you invite to participate in assessments
• Tellstone processes participant data in accordance with our Privacy Policy and the Participant Terms of Service
• Assessment reports and simulations are provided for informational purposes and should be one input among many in your decision-making process
• Tellstone may use de-identified and aggregated data to improve the Service, as described in our Privacy Policy

8. Intellectual property

The Service, including all software, algorithms, assessments, methodologies, report formats, designs, and documentation, is the exclusive property of Tellstone and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

You retain ownership of any data you upload to the Service. You grant Tellstone a license to process this data for the purpose of providing the Service to you, and to use de-identified and aggregated data for model training, product improvement, and research. No individually identifiable data will be shared with third parties without your consent.

9. Disclaimers

The Service is provided "AS-IS" and "AS-AVAILABLE." Tellstone makes no warranties, express or implied, regarding the Service, including but not limited to:

• The accuracy, reliability, or completeness of any assessment, simulation, or report
• The suitability of the Service for any particular investment or hiring decision
• Uninterrupted or error-free operation of the Service

Tellstone's reports and simulations are analytical tools intended to supplement, not replace, your own judgment and due diligence processes.

10. Limitation of liability

To the fullest extent permitted by applicable law, Tellstone (including its founder, officers, employees, and affiliates) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

In no event shall Tellstone's total aggregate liability exceed the amount you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Tellstone and its founder, officers, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Modifications to terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. We encourage you to review these Terms periodically. Your continued use of the Service after updated Terms are posted constitutes your acceptance of the changes.

13. Governing law and disputes

These Terms are governed by the laws of the State of Indiana, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Hamilton County, Indiana.
